Terms of Service

These Terms govern your access to and use of DankaiFlow (“the Service”), operated by Breakout Ventures (“we”, “us”). Please read them — if anything is unclear, ask us on chat and we’ll clarify.

1. The Agreement

By creating an account or otherwise using DankaiFlow, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you are using the Service on behalf of a business or team, you represent that you have the authority to bind that organization to these Terms.

2. What DankaiFlow Is

DankaiFlow is a hosted customer relationship management (CRM) platform: contact and pipeline management, forms, calendar and booking, quotes, messaging, and optional AI-assisted features for engaging your leads. We host and operate the Service; you create an account and use it to manage your own contacts, deals, and communications.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized use of your account. You must provide accurate information when creating an account and keep it up to date.

4. Your Data

You retain ownership of all data you or your team enter into the Service, including contacts, deals, messages, and files (“Customer Data”). You are responsible for the accuracy of Customer Data and for having the right to collect and process it, including obtaining any consents required from your own contacts (for example, before sending them marketing email or SMS). We process Customer Data only to provide, maintain, and support the Service, as described in our Privacy Policy.

5. Acceptable Use

You agree not to use the Service to:

• Send unsolicited communications (spam) or violate applicable anti-spam, telemarketing, or electronic-communications laws;
• Upload or transmit unlawful, infringing, defamatory, or harmful content;
• Attempt to gain unauthorized access to the Service, other accounts, or the systems or networks connected to it;
• Reverse engineer, resell, or use the Service to build a competing product, except as expressly permitted by a separate written agreement with us;
• Use the Service in a way that violates any applicable law, including data-protection and consumer-protection laws in the jurisdictions where you or your contacts are located.

We may suspend or terminate accounts that violate this section, with or without notice, where reasonably necessary to protect the Service or other users.

6. Third-Party Services & AI Features

The Service integrates with third-party providers you may choose to connect — for example, for email, SMS, voice, payments, and AI-assisted replies. Where you connect such a provider, your use of it is also governed by that provider’s own terms. AI features (including automated replies and voice agents) use third-party language models and may occasionally produce inaccurate or inappropriate output; you are responsible for reviewing AI-assisted communications sent on your behalf where practicable, and for how you configure and deploy these features with your contacts.

7. Subscription, Billing & Cancellation

Paid plans are billed in advance on a recurring basis (monthly or annually, as selected at signup) through our payment processor. Fees are non-refundable except where required by law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you will retain access until then. We may change our pricing with reasonable advance notice; continued use after a price change takes effect constitutes acceptance of the new pricing.

8. Service Availability

We aim to keep the Service available and performant but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and the Service may occasionally be unavailable as a result. We are not liable for outages caused by third-party providers the Service depends on.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that any AI-generated output will be accurate or suitable for your purposes.

10. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or where required by law. On termination, we may delete your Customer Data after a reasonable grace period, except where we are required to retain it.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new “Last updated” date. Material changes will be communicated where reasonably practicable. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
